1. Agreement

These terms govern the rental of portable toilets, hand-wash stations, restroom trailers, and related services from Vesper Portable Toilets ("Vesper", "we", "us"). By placing an order, signing a delivery ticket, or accepting delivery of equipment, you ("Customer") agree to these terms.

2. Equipment ownership & care

All rented equipment remains the property of Vesper. Customer is responsible for the equipment from delivery through pickup and must take reasonable steps to protect it from damage, vandalism, theft, and misuse. Customer must not move, modify, paint, or attach signage to the equipment without our written consent.

3. Site access

Customer is responsible for providing safe, lawful, and reasonable access to the delivery location, including gate codes, parking, and any permits required for placement in the public right-of-way. If our driver cannot safely access the agreed location, a return-trip fee may apply.

4. Servicing

For long-term rentals, scheduled servicing is included on the agreed frequency. Additional service stops outside the schedule are billed at our then-current additional-service rate. Customer must keep the equipment reasonably accessible on scheduled service days.

5. Permitted use; prohibited items

Equipment is for ordinary human waste only. Do not deposit trash, chemicals, paint, solvents, gray water, mop water, or any other foreign material into the waste tank. Damage or special-disposal fees caused by prohibited use are the Customer's responsibility.

6. Damage, loss & vandalism

Customer is responsible for damage, loss, or theft of equipment beyond ordinary wear and tear. Repair or replacement is billed at our then-current rates. We will document any damage with photographs and provide them with the invoice.

7. Payment terms

Standard accounts are net 15 from invoice date unless otherwise agreed in writing. Past-due balances may accrue late fees as permitted by California law. Returned-payment fees may apply for declined cards or insufficient-funds checks.

8. Cancellation & rescheduling

Orders cancelled or rescheduled less than 24 hours before the scheduled delivery may be subject to a delivery-trip fee. Event orders cancelled within 72 hours of delivery may forfeit the deposit. We will always work with you on weather-related rescheduling.

9. Insurance & indemnification

Vesper carries commercial general liability and automobile liability insurance. Certificates of insurance with additional-insured endorsements are available on request. Customer agrees to indemnify and hold Vesper harmless from claims arising out of Customer's use, misuse, or placement of the equipment, except to the extent caused by Vesper's negligence or willful misconduct.

10. Limitation of liability

To the maximum extent permitted by law, Vesper's total liability for any claim arising out of or relating to the equipment or services is limited to the amounts paid by Customer for the specific rental giving rise to the claim. Vesper is not liable for incidental, consequential, or special damages.

11. Governing law

These terms are governed by the laws of the State of California. Venue for any dispute is the state or federal courts located in San Diego County, California.
